TERMS & CONDITIONS FOR COACHING SERVICES

These Terms and Conditions (“Terms”) govern your purchase of and participation in any coaching services, programs, courses, digital products, events, or memberships offered by Elizabeth Ann Cunningham Coaching LLC (“Company,” “we,” “us,” or “our”).

By purchasing, accessing, or participating in any of our services, you (“Client,” “you”) agree to be bound by these Terms.

1. SERVICES

We provide relationship coaching, business coaching, educational programs, certification programs, group coaching, digital courses, events, and related services (“Services”).

All Services are for educational, supportive, and personal-development purposes only.

We do not guarantee any specific outcomes.

2. NOT THERAPY, MEDICAL, OR LEGAL SERVICES

You acknowledge and agree that:

- Coaching is not therapy, mental health care, medical care, or legal advice.

- We do not diagnose, treat, or cure any physical, mental, or emotional conditions.

- You are responsible for seeking professional help (therapy, medical care, legal counsel, financial advice, etc.) as needed.

- You understand that coaching involves personal reflection, emotional topics, and relationship dynamics, and you participate voluntarily.

3. CLIENT RESPONSIBILITY

You agree that:

- You are solely responsible for your choices, actions, results, and well-being.

- You are responsible for your participation, engagement, and implementation.

- You understand that results depend on many factors outside our control.

- We are not liable for decisions you make during or after coaching.

4. PAYMENT & FEES

You agree to pay all fees associated with your selected Service.

Payment plans are a commitment to the full balance, not a subscription.

You authorize us to automatically charge your payment method according to the terms you selected.

Failure to complete payments may result in suspension or termination of access.

Prices, program structures, and offers may change at any time for future clients.

5. NO REFUNDS

Because coaching and digital programs involve immediate access to materials, scheduling, and energetic and administrative commitment:

All sales are final. No refunds.

This applies to:

- 1:1 coaching

- Group programs

- Certification programs

- Memberships

- Events

- Digital products

- All products these terms and conditions are associated with

If you are on a payment plan, you are responsible for completing all payments regardless of participation level.

6. CANCELLATIONS & RESCHEDULING (FOR LIVE SESSIONS)

If your Service includes live sessions:

- You must provide at least 24 hours’ notice to reschedule a session.

- Sessions missed or canceled late may be forfeited.

- We do not guarantee make-up sessions.

If we must cancel or reschedule, we will make reasonable efforts to provide an alternative.

7. INTELLECTUAL PROPERTY

All materials, including but not limited to:

- videos

- worksheets

- frameworks

- teachings

- slides

- recordings

- branding

- program structures

are the intellectual property of Elizabeth Ann Cunningham Coaching LLC.

You may not copy, share, reproduce, sell, or distribute any materials without written permission.

This includes sharing login access or program content with non-participants.

8. CONFIDENTIALITY

We respect your privacy and confidentiality.

You agree not to disclose or share identifying or sensitive information about other participants that you may learn in group spaces.

We reserve the right to break confidentiality if required by law or if there is risk of serious harm.

9. COMMUNITY STANDARDS

You agree to participate in our spaces with integrity, respect, and care.

We reserve the right to remove any participant without refund if they engage in:

- harassment or hate speech

- discriminatory or abusive behavior

- repeated disruption of the container

- violation of boundaries

- harmful or unsafe conduct

10. TECHNOLOGY & ACCESS

We are not responsible for:

- internet outages

- platform failures

- user error

- email deliverability

- tech disruptions beyond our control

Access to platforms, communities, and materials is provided “as is.”

11. DISCLAIMER OF GUARANTEES

We make no guarantees. Guarantees that we don't make include but are not limited to:

- income

- relationships

- emotional outcomes

- business success

- healing results

Testimonials represent individual experiences and are not promises.

12. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Elizabeth Ann Cunningham Coaching LLC shall not be liable for any direct, indirect, incidental, or consequential damages arising out of your participation in Services.

Your participation is voluntary and at your own risk.

13. INDEMNIFICATION

You agree to indemnify and hold harmless Elizabeth Cunningham, Elizabeth Ann Cunningham Coaching LLC, and connected affiliates from any claims, damages, losses, or legal fees arising from your actions, participation, or violation of these Terms.

14. GOVERNING LAW

These Terms are governed by the laws of the state in which Elizabeth Ann Cunningham Coaching LLC is registered.

15. MODIFICATIONS

We reserve the right to update these Terms at any time. Continued participation constitutes acceptance of any changes.
